Total Voting Rights

In accordance with the FSA Disclosure and Transparency Rules, Intercede
announces that its issued share capital comprises 36,093,741 ordinary shares of
1p with voting rights.

No ordinary shares are held in treasury.

The voting rights of all of the ordinary shares are identical.

The figure above (36,093,741) may be used by shareholders as the denominator for
the calculation by which they will determine if they are required to notify
their interest in, or a change to their interest in, Intercede, under the FSA
Disclosure and Transparency Rules.
